PRELIMINARY ASSESSMENT OF OPERATIONS & EXIT STRATEGY

Lyons Solutions provides an opinion of the overall market attractiveness to owners before significant time or expense is required.

BUSINESS ANALYSIS AND MARKET IDENTIFICATION

We perform an in-depth evaluation of our clients business and prepare a professionally written information package regarding the client's business. Lyons Solutions uses its database and market research to design an extensive customer-specific list of potential firms for the marketing of each client's transaction.

MARKET CONTACT AND FOLLOW-UP

Lyons Solutions contacts prospective buyers and investors directly. Potential suitors are prequalified both financially and as to interest level. Confidentiality Agreements are executed before the client's name or other confidential information is disclosed. Meetings are held when the key decision-makers are available, streamlining the process and respecting everyone's time. As many options as possible are sought.

STRUCTURING THE TRANSACTION

Our focus is to maximize the after-tax benefit and minimize cost and risk to our client. Structure is often more important than absolute price. Taxes, estate planning, risk of being paid, post-acquisition commitments and cultural fit are among the many issues considered in sales transactions. For financing or equity investments the terms, relative risk, control issues, covenants, convertibility, dilution, reporting requirements and many other items are assessed.

COMPLETING THE TRANSACTION

Due diligence activities are staged in a way that will avoid unnecessary interruption in the business and unnecessary risk to the client. Lyons Solutions collaborates with all parties to help resolve issues that may arise during negotiation of the purchase and sale contracts or financing agreements.
